1. Software platform role
Nzura App is a software platform operated by Nzunda Technologies Limited. Nzura App helps tenants configure workflows, store records, trigger integrations, and present operational information. Nzura App is not, solely by operating the software, the tenant's bank, payment processor, social network, AI model owner, employer, tax adviser, legal representative, payroll reviewer, or regulator.
2. Payment gateway and money movement disclaimer
When a tenant enables a payment gateway such as Pesapal, Selcom, ClickPesa, or any future provider, that tenant enters a direct legal and operational relationship with the selected gateway provider. Gateway onboarding approval, merchant due diligence, KYC, reserves, chargebacks, transaction disputes, account holds, settlement timing, payout failures, bank routing, network outages, or reversals remain matters between the tenant, the gateway provider, banks, card schemes, mobile money operators, and other payment participants, subject to applicable law.
Nzura App is not responsible for missing funds, delayed settlements, provider-side fraud review outcomes, provider compliance failures, licensing deficiencies of the gateway provider, provider API downtime, chargeback liability, card scheme fines, acquirer restrictions, or regulatory actions affecting the gateway provider. Nzura App's role is limited to software coordination, logging, callback handling, and the product features described by the platform.
3. Provider licensing and compliance
Tenants must only use payment gateways, communication providers, social networks, fiscal systems, and other integrations in ways permitted by law and by the provider's own licenses and compliance approvals. Any provider that requires licensing, authorization, or regulated approval remains responsible for maintaining that licensing position. Tenants must independently satisfy themselves that a selected provider is appropriate for their use case and jurisdiction.
4. Customer content, filings, payroll, and AI outputs
Tenants remain responsible for the legality and accuracy of their own filings, payroll submissions, customer communications, invoices, receipts, social content, product catalogs, employee records, and AI-assisted outputs. AI results, recommendations, or drafts must be reviewed by a qualified human before being relied upon for legal, tax, payroll, compliance, or financial decisions.
5. Social media and external platform policy
Social platforms, app review teams, channel permissions, reach restrictions, policy enforcement, content moderation decisions, account suspensions, or API access changes remain under the control of the relevant provider. Nzura App cannot guarantee continued access to a connected social account or a provider's approval of any integration.
6. Prohibited use enforcement
Nzura App may refuse, suspend, restrict, or terminate use where the platform is used for prohibited businesses, unlawful conduct, sanctions exposure, money laundering risk, fraud indicators, abusive messaging, or other unacceptable risk. We may take those actions to protect users, providers, infrastructure, and legal compliance obligations.
7. Limitation of liability
To the maximum extent permitted by applicable law, Nzunda Technologies Limited will not be liable for indirect, consequential, incidental, special, punitive, or exemplary damages; loss of profits; loss of revenue; reputational harm; loss of anticipated savings; regulatory penalties imposed on the tenant; payment provider losses; or losses caused by third-party provider failure, network outage, inaccurate tenant inputs, or unlawful tenant activity.
8. Indemnity expectation
Where permitted by law, a tenant may be required to indemnify Nzunda Technologies Limited against losses, claims, liabilities, or enforcement actions arising from that tenant's unlawful use, prohibited business activity, false statements, provider misuse, credential misuse, content violations, or regulatory non-compliance.
