1. Program scope and definitions
The Nzura Referrer Program (the "Program") allows individuals and businesses (each a "Referrer") to introduce prospective tenants to Nzura App and earn commissions on qualifying paid subscriptions. A "Referred Tenant" is a business that registers a paying Nzura tenant using the Referrer's published referral link, code, or attributed signup. A "Qualifying Subscription" is a paid Nzura subscription by a Referred Tenant that has been billed, collected in cleared funds, and is not subject to refund, chargeback, dispute, or fraud hold.Programu ya Wapendekezaji ya Nzura ("Programu") inawawezesha watu binafsi na biashara (kila mmoja "Mpendekezaji") kuwatambulisha wateja watarajiwa kwa Nzura App na kupata kamisheni kwenye usajili wa kulipia. 2. Eligibility
To participate, you must be at least 18 years old, lawfully able to enter into a contract under Tanzanian law, and provide accurate identity, contact, and payout information. Businesses joining as Referrers must be lawfully registered and must designate an authorized representative. We may require KYC documentation (national ID, TIN, business registration, address, beneficial ownership) before activating a Referrer account or releasing payouts. We may decline or terminate any Referrer at our discretion, including where the Referrer or the Referrer's payout account fails KYC, sanctions, or anti-money-laundering checks.Ili kushiriki, lazima uwe na umri wa angalau miaka 18, uweze kihalali kuingia katika mkataba chini ya sheria ya Tanzania, na utoe taarifa sahihi za utambulisho, mawasiliano, na malipo. 3. Referral attribution
A signup is attributed to a Referrer when a prospect uses the Referrer's referral link or code at registration, or when Nzura confirms attribution from server-side tracking before the prospect completes payment. Where two Referrers may have contributed to the same signup, the most recent valid attribution prior to paid conversion governs. Attribution is final and non-negotiable once a Qualifying Subscription has settled. Self-referrals (using your own referral link to register a tenant in which you, your spouse, or a closely held entity have a beneficial interest) do not earn commission.Usajili huhusishwa na Mpendekezaji wakati mteja anatumia kiungo au kodi ya Mpendekezaji wakati wa usajili, au Nzura inathibitisha uhusishaji kutoka ufuatiliaji wa upande wa seva kabla mteja hajakamilisha malipo. 4. Commission, schedule, and minimums
Commission percentages, lookback windows, payout currency (TZS by default), payout minimums, and payout cadence are published in your Referrer dashboard and may be updated from time to time. Updates apply prospectively to attributions created after the change. Commission is calculated on the net amount actually billed and collected in cleared funds, exclusive of VAT, taxes, gateway fees, refunds, credits, and chargebacks. Commissions on a Qualifying Subscription accrue once cleared funds are recognised, are subject to a hold period during which we may reverse the accrual if a refund, dispute, fraud hold, or KYC failure occurs, and are paid out only when the Referrer's available balance meets the published minimum.Asilimia za kamisheni, madirisha ya kurudisha, sarafu ya malipo (TZS kwa kawaida), kiwango cha chini cha malipo, na ratiba ya malipo huchapishwa kwenye dashibodi yako ya Mpendekezaji na zinaweza kusasishwa mara kwa mara. 5. Payout channels and accuracy
Payouts are made via Tanzanian mobile-money networks (Vodacom M-Pesa, Tigo Pesa / Yas, Airtel Money, Halopesa) or to a Tanzanian commercial bank account, in each case via Nzura's payment-gateway provider. The Referrer is responsible for keeping payout details accurate, current, and held in the Referrer's own legal name. Disbursements that fail because of an incorrect MSISDN, closed account, name mismatch, KYC failure at the receiving institution, or sanctions screening are returned to the Referrer's available balance and may be retried only after the Referrer corrects the underlying detail. 6. Tax
Commissions are paid gross unless we are required by law to withhold. The Referrer is solely responsible for declaring and paying any income tax, withholding tax, VAT, or other tax obligations arising from commissions to the Tanzania Revenue Authority and any other applicable tax authority. We may require a TIN before processing any payout and may withhold or report payouts as required by Tanzanian law.Kamisheni hulipwa kwa ujumla isipokuwa tunapotakiwa kisheria kuzuia. 7. Acceptable promotion and prohibited practices
You may promote Nzura via your own website, social media, email lists, in-person referrals, business introductions, presentations, and similar channels, provided your promotion is truthful, lawful, and compliant with applicable advertising and data-protection laws. 8. Brand use
You may use the "Nzura" name and approved logos solely to identify the platform you are referring to. You may not modify the logo, combine it with any other mark in a way that suggests endorsement, use it as the most prominent element on your own materials, or register any domain, social handle, business name, or trademark that includes "Nzura", "Nzunda", or a confusingly similar variant. We may revoke brand-use permission at any time.Unaweza kutumia jina "Nzura" na nembo zilizoidhinishwa tu kutambulisha jukwaa unalopendekeza. 9. Confidentiality and data protection
Information about Nzura's roadmap, internal pricing, partner economics, system internals, or any tenant data you encounter through the program is confidential. You will not store, share, or use prospect personal data outside of the lawful purpose of introducing the prospect to Nzura, and you must comply with applicable Tanzanian data-protection law and our Privacy Policy when handling any personal data.Taarifa kuhusu ramani ya Nzura, bei za ndani, uchumi wa wabia, ndani ya mfumo, au data yoyote ya wateja unayokutana nayo kupitia programu ni siri. 10. Audit, withholding, and reversal
We may audit referral activity, signup quality, payment quality, and downstream outcomes at any time. Where we have a reasonable basis to suspect fraud, attribution manipulation, prohibited promotion, sanctions exposure, refunded conversions, or chargebacks, we may freeze accruals, withhold pending payouts, reverse paid commissions (including by deducting from future payouts), require repayment, suspend the Referrer's account, and report the matter to relevant authorities.Tunaweza kukagua shughuli za upendekezaji, ubora wa usajili, ubora wa malipo, na matokeo ya baadaye wakati wowote. 11. Termination
Either party may terminate participation at any time on written notice (in-app message or email is sufficient). Termination does not extinguish liabilities accrued prior to termination, including any obligation to repay reversed commissions or amounts paid in error. Sections 6 (Tax), 9 (Confidentiality), 10 (Audit), 12 (Limitation), and 13 (Governing law) survive termination.Pande yoyote inaweza kusitisha ushiriki wakati wowote kwa taarifa ya maandishi (ujumbe wa ndani ya programu au barua pepe inatosha). 12. No employment, no agency, limitation of liability
The Program is a non-exclusive commercial introducer arrangement. Nothing in these terms creates an employment, partnership, joint venture, franchise, or agency relationship between you and Nzunda Technologies Limited. You have no authority to bind Nzura, accept payment on Nzura's behalf, or make commitments on Nzura's behalf to any third party. To the maximum extent permitted by law, Nzura's aggregate liability to a Referrer arising out of or relating to the Program is limited to the commissions actually paid to that Referrer in the six (6) months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, or lost-profit damages.Programu ni mpango wa utangulizi wa kibiashara usio wa kipekee. 13. Governing law and disputes
These terms are governed by the laws of the United Republic of Tanzania. The courts of Tanzania have exclusive jurisdiction, except that we may seek injunctive or equitable relief in any court with jurisdiction over the Referrer or the Referrer's assets. The parties will attempt good-faith resolution before commencing proceedings.Masharti haya yanatawaliwa na sheria za Jamhuri ya Muungano wa Tanzania. Mahakama za Tanzania zina mamlaka ya kipekee, isipokuwa tunaweza kutafuta unafuu wa zuio au usawa katika mahakama yoyote yenye mamlaka juu ya Mpendekezaji au mali za Mpendekezaji. Pande zitajaribu utatuzi wa nia njema kabla ya kuanzisha shauri.
14. Changes to these terms
We may update these terms from time to time. Material changes will be posted on this page with a revised "last updated" date and, where reasonably practical, notified through the Referrer dashboard or by email. Continued participation after the effective date constitutes acceptance of the updated terms.Tunaweza kusasisha masharti haya mara kwa mara.
